6. SEBI Regulatory Framework for Unlisted Securities

SEBI regulates the securities market in India under the SEBI Act, 1992. While unlisted shares are not directly regulated by SEBI in the same manner as listed securities, SEBI has issued guidelines and advisories relevant to the trading of unlisted shares, including advisories on fraudulent schemes and manipulation.

SEBI Circular No. SEBI/HO/CFD/DCR1/CIR/P/2019/67 and subsequent circulars govern disclosures by companies and persons dealing in unlisted securities. Investors are encouraged to review SEBI's investor education resources at sebi.gov.in.

The Securities Contracts (Regulation) Act, 1956 and the Companies Act, 2013 also contain provisions relevant to the transfer of unlisted shares, including restrictions on transfer and pre-emption rights that investors must be aware of.
